A well-funded, late-stage SaaS company is seeking a highly organized and proactive Corporate Paralegal to support its legal and compliance team during a key period of internal transition. This interim role will provide critical support by maintaining strong corporate governance practices, supporting subsidiary management, and assisting with legal operations workflows in partnership with internal stakeholders and outside counsel. The ideal candidate will have prior in-house experience at a late-stage SaaS startup or public technology company, with a proven track record managing board processes, subsidiary compliance, and legal documentation in a fast-paced, high-growth environment. The legal team is seeking a part-time contributor who can work onsite 1-2 days per week. Remote flexibility may be considered for local candidates who bring deep governance experience and are able to be onsite periodically (at least once per month).
Key Responsibilities
+ Draft and maintain board and committee resolutions, manage minute books, and support corporate secretarial workflows
+ Maintain the company's corporate structure and subsidiary records, including domestic and international entities
+ Monitor and respond to the legal@ inbox, triaging internal requests and routing legal tasks appropriately
+ Assist with regulatory responses, litigation holds, and document coordination for subpoenas or audits
+ Support legal tasks related to investor communications and governance documentation for corporate transactions
+ Collaborate with internal teams (Finance, HR, Tax) and outside counsel to ensure accuracy and compliance across legal operations
+ Maintain organized, audit-ready records of governance documentation, policies, and internal approvals
Requirements
Qualifications
+ 5-10+ years of corporate paralegal experience supporting late-stage startups or public companies, ideally within the SaaS or technology sector
+ Proven track record supporting board and committee meetings, maintaining minute books, and managing subsidiary compliance
+ Experience handling both domestic and international entity management
+ Familiarity with legal documentation related to financings, investor communications, or corporate transactions
+ Proficiency with platforms such as Diligent Boards, SharePoint, Carta, iManage, or similar legal operations tools
+ Ability to operate independently and cross-functionally in a fast-paced, scaling environment
+ Paralegal Certificate required; Bachelor's degree preferred
