Job Description
We are currently offering a contract opportunity for a Corporate Paralegal to join our team. This remote role provides an exciting chance to work in a dynamic environment, where you'll play a key role in preparing, reviewing, and managing a variety of legal documents. Your work will include supporting commercial leases, corporate governance, due diligence for real estate transactions, and managing vendor contracts.
Key Responsibilities:
Commercial Lease Management: Process and review commercial leases, lease amendments, letters of credit, non-disclosure agreements, guarantees, tenant estoppel certificates, and more, ensuring accuracy and compliance.
Contract Negotiation & Vendor Management: Review and negotiate vendor contracts, while addressing any risk or compliance concerns by collaborating with internal teams.
Corporate Governance Support: Maintain corporate minute books, prepare annual reports, draft resolutions, and help manage systems that promote effective governance practices.
Real Estate Due Diligence: Conduct thorough due diligence for real estate transactions, including title reviews and legal research on zoning and permitting matters.
Internal Collaboration: Foster strong relationships with internal business partners across departments to ensure alignment and effective communication on legal matters.
Legal Guidance: Provide recommendations on leasing, contract, and corporate governance issues to senior legal counsel as needed.
Compliance and Training Support: Assist with compliance initiatives, employee training, special projects, real estate filings, and other clerical duties as required.
Corporate Governance Expertise: Leverage your experience to support corporate compliance with legal and statutory requirements.
Commercial Leasing & Contract Management: Demonstrate expertise in reviewing, negotiating, and drafting commercial lease agreements and other contracts, ensuring they are in the best interests of the business.
Vendor Relationship Management: Build and maintain strong, detail-oriented relationships with vendors to support business operations.
Required Qualifications:
Experience in Corporate Governance and Commercial Leasing, with the ability to draft, review, and negotiate legal documents.
Strong skills in Contract Management, able to oversee the contract lifecycle from initiation to completion.
Detail-oriented, with the ability to manage and maintain important legal documents and relationships.
Excellent communication skills and a collaborative mindset, with experience working across teams to drive legal and business objectives.
